2. Independent Dispatch Service

Silver State Dispatch LLC operates as a dispatch service provider.

Unless otherwise expressly agreed in writing, Silver State Dispatch LLC does not operate as a motor carrier and does not physically transport freight.

Transportation services are performed by the applicable motor carrier.

Silver State Dispatch LLC does not take possession of freight and does not assume the responsibilities of the carrier, shipper, broker, consignee, or driver.

3. Carrier Responsibility

Customers using our dispatch services remain responsible for maintaining all licenses, registrations, insurance, operating authority, permits, and other requirements necessary to legally operate their transportation business.

This may include, where applicable:

• USDOT registration
• Motor carrier operating authority
• Commercial vehicle insurance
• Cargo insurance
• Driver qualifications
• Vehicle registrations
• Permits
• Electronic logging requirements
• State and federal transportation requirements

Customers are responsible for ensuring that their vehicles, drivers, and operations comply with applicable laws and regulations.

4. Load Selection and Acceptance

Silver State Dispatch LLC may identify and present freight opportunities to customers based on information provided by freight brokers, shippers, load boards, and other sources.

Unless the customer has expressly authorized Silver State Dispatch LLC to accept loads on its behalf, the customer remains responsible for approving loads before final booking.

Customers should review relevant load information, including:

• Rate
• Origin and destination
• Commodity
• Weight
• Dimensions
• Pickup and delivery appointments
• Equipment requirements
• Special instructions
• Detention provisions
• Cancellation terms
• Additional fees or requirements

Silver State Dispatch LLC does not guarantee the availability, profitability, accuracy, or suitability of any particular load.

5. Third-Party Information

Some information used in providing dispatch services is supplied by third parties, including freight brokers, shippers, receivers, load boards, and transportation platforms.

Silver State Dispatch LLC cannot guarantee that all third-party information is accurate, complete, or current.

Customers are encouraged to verify important shipment information before accepting or transporting freight.

6. Rates and Revenue

Silver State Dispatch LLC may assist customers with negotiating freight rates; however, we do not guarantee:

• A particular rate per mile
• A specific weekly or monthly gross revenue
• A minimum number of loads
• Continuous freight availability
• A particular level of profitability

Freight rates and availability may be affected by market conditions, location, equipment type, seasonality, fuel prices, broker demand, weather, and other circumstances outside our control.

7. Service Fees and Payment

Fees for dispatch services are determined by the agreement between Silver State Dispatch LLC and the customer.

Fees may be structured as:

• A percentage of gross freight revenue
• A flat fee

• Another agreed pricing arrangement

Customers are responsible for paying all agreed fees according to the applicable service agreement, invoice, or payment arrangement.

9. SMS and MMS Terms of Service

13. Cancellations and TONU

Loads may occasionally be canceled or modified by brokers, shippers, customers, receivers, or other parties.

Silver State Dispatch LLC does not guarantee payment of Truck Ordered Not Used (“TONU”), detention, layover, lumper reimbursement, accessorial charges, or other additional payments.

We may assist customers in requesting applicable payments, but payment ultimately depends on the terms of the applicable transportation agreement and the responsible third party.

14. Detention, Layover, and Accessorial Charges

Customers should promptly notify Silver State Dispatch LLC of detention, delays, layovers, loading issues, unloading issues, or other circumstances that could result in additional charges.

Silver State Dispatch LLC may assist with communication and documentation related to such charges but cannot guarantee that a broker or other party will approve or pay them.

15. No Guarantee of Continuous Service

While Silver State Dispatch LLC aims to provide reliable dispatch support, uninterrupted service cannot be guaranteed.

Service may occasionally be affected by:

• Internet or telecommunications outages
• Load-board outages
• Software problems
• Weather
• Emergency conditions
• Third-party service interruptions
• Government action
• Other circumstances beyond our reasonable control

16. Prohibited Use

You may not use our website or services to:

• Violate applicable laws or regulations

• Commit fraud
• Transport unlawful cargo
